    Overview:  SolaREIT’s mission is to acquire, develop, & manage climate-friendly solar and storage assets that support the transformation to a low-carbon economy. We are looking for an individual passionate about renewable energy to join our close-knit, dynamic team who is excited by a high-growth opportunity with a well-funded and rapidly growing organization. The Transaction Counsel will have the unique opportunity to work with SolaREIT’s partners to close deals and support the deployment of renewable energy projects. The ideal candidate for this position will be detail-oriented, possess exceptional prioritization skills, and demonstrate a positive, results-driven attitude aligned with a strong commitment to achieving goals. The Transaction Counsel is responsible for working with internal and external stakeholders to draft, review, and deliver leases, purchase and sale agreements, loan agreements and other documents on time, forming and maintaining excellent relationships with solar and battery energy storage system (BESS) developers, outside counsel and title companies. We are seeking an individual with experience in real estate and renewable energy development.

     Core Job Responsibilities:

    • Draft, review and negotiate documents related to solar and battery energy storage real estate transactions, including leases, easements, and purchase agreements.

    • Negotiate favorable and commercially reasonable terms and conditions in Purchase and Sales agreements and Leases, reflecting the company's interests while mitigating risks.

    • Support due diligence processes for acquisitions.

    • Collaborate with internal teams, outside counsel, and various stakeholders to ensure proper coordination on deals.

    • Support and advise the Company’s Business Development team in its efforts to provide a quick, efficient, and friction-less experience to our customers.

    • Develop and update legal templates, policies, and procedures to streamline processes and maintain compliance.

    • Provide legal support and guidance to other departments within the organization, including finance and asset management, as needed.

    • Support other legal projects on an ad hoc basis.

    What You Need to be Successful:

    ·       5+ years of relevant experience working in real estate transactions with a focus on solar or BESS, both for US projects under US law.

    • Strong analytical skills.

    • Demonstrated proficiency and success driving origination processes.

    • Demonstrated efficient management of legal documents, with on time delivery.

    • JD or LLM from an accredited law school.

    • Admission to the bar in the relevant jurisdiction.

    • High level of proficiency with Office 365.

    The Executive Vice President of Business Development will be a dynamic and results-oriented performer, responsible optimizing sales strategies, and leading a high-performing sales team across the U.S. As a member of the senior management team, this person will be a key strategic partner to the CEO, responsible for driving organizational effectiveness, managing cross-functional projects, and ensuring that the company's strategic initiatives are aligned and executed effectively. This role demands a leader with excellent communication and organizational skills who can navigate complex go-to-market strategies, build strong partnerships, and develop innovative sales processes across both direct and indirect channels.

    As the Executive Vice President Business Development, you will be responsible for overseeing the business development (BD) team, managing company sales objectives, and supporting the BD team in developing SolaREIT’s solar and BESS developer network nationally. The ideal candidate will direct, improve, and manage the sales process while also coordinating all BD goal-setting, developing sales stimulus programs, tracking and reporting of the pipeline, and quarterly forecasts. This individual will use their experience to amplify the BD team, working with the team to bring in new leads, negotiate transactions, and build repeat business.

    • Leadership: Serve as the primary liaison for communication between the Business Development team and CEO, ensuring alignment on strategies, updates, and project developments

    • Sales Leadership: Lead and manage a national business development team, fostering a high-performance culture focused on achieving and exceeding quarterly sales targets. This individual will take over coaching and mentoring of sales executives to free up time for the CEO, who currently provides such services

    • Data-Driven Decision Making: Analyze sales performance metrics, identifying areas for improvement and implementing data-driven strategies. Utilize Salesforce to track sales metrics, analyze performance data, and make informed decisions to optimize sales processes.

    • Negotiate and Solve: Work with the sales team to identify deal sticking points and drive to resolution. Leverage your solar or BESS experience, connections, and negotiating prowess to unlock more opportunities.

    • Strategic Initiatives: In collaboration with the CEO, develop and execute comprehensive sales strategies for new market opportunities.

    • Risk Management: Identify potential risks to sales objectives; develop and propose mitigation strategies to ensure targets are met.

    • Strategic Planning: Collaborate with the CEO and executive team on strategic planning processes, including the development and execution of company-wide initiatives.Ensure that business goals, priorities, and strategic plans are clearly communicated and executed across the organization. Support long-term strategic initiatives, ensuring that they are aligned with the company’s overall vision, mission, and values.

    • KPI Tracking & Accountability:  Develop and monitor BD team KPIs, ensuring timely execution and delivery of results. Report regularly to the CEO.

    • Forecasting: Present revenue weekly, monthly and quarterly forecasts and performance reports to the CEO, providing insights and actionable recommendations. Analyze revenue performance metrics, identifying areas for improvement and implementing data-driven strategies.

    • Process Improvement: Drive operational efficiency by implementing scalable processes to advance transactions.Identify inefficiencies in business processes, organizational structures, and workflows, and propose solutions to improve effectiveness of the business development team.

The Director, reporting to the CFO, will be responsible for managing diligence and leading the closing process for SolaREIT’s investments in real estate under battery storage and solar projects. The role requires experience leading due diligence and managing acquisitions or financings for solar or energy storage projects. The Director will be able to review all aspects of projects, with the support of technical consultants and legal counsel, to assess and mitigate commercial risk. The right candidate will have superior communication skills, the ability to manage multiple transactions at once, and attention to detail.

    Core Job Responsibilities:

    • Due Diligence for new real estate investments.

    • Review project information, such as site leases, financial models, IE reports, interconnection agreements, surveys, supplier contracts, offtake contracts, and construction schedules, to ensure SolaREIT’s underwriting standards are met.

    • Synthesize all project information to assess risk. Flag risks to management and propose mitigants.

    • Coordinate with real estate counsel on title and real estate matters.

    • Work with the investor relations team to ensure that the diligence process aligns with financing party requirements.

    • Manage external technical, commercial, and policy resources as needed.

    • Finalize checklists, diligence reviews and investment committee memos for internal investment approval.

    • Coordinate closing for new projects with the customer and legal resources. Clearly communicate CPs to closing and timeline.

    • Work with external counsel and internal legal resources to maintain closing checklists and clearly communicate timelines to investment counterparties.

    • Work with external counsel to finalize commercially acceptable title policies for SolaREIT.

    • Communicate closing timelines to our Corporate Finance team to ensure that they can meet all capital requirements for closing.

    • Support capital raise efforts with respect to project level diligence.

    • Ability to lead closings as an individual performer with many different stakeholders to achieve a goal.

    • Excellent communication and project management skills. Ability to build relationships with customers, adapt closing process to their needs and communicate diligence needs and timelines.

    • Strong financial modeling skills in excel.
